It is evaluated as a technology, IP and digital-asset acquisition — covering source code, product architecture, brand, domains, UI/UX, database architecture, financial controls, operational infrastructure, integration work and associated digital assets, subject to the definitive acquisition agreement. The platform runs in sandbox/test mode and is pre-revenue.

The platform is structured as a financial operating layer — transaction engine, ledger, risk, settlement and merchant operations — so it can sit beneath a buyer's own product rather than compete with it.

AI built into the operating layer

Intelligence is applied to financial operations, risk insights and transaction analysis inside the workflow, rather than added as a separate assistant surface. Money-moving actions remain operator-driven.

Time and engineering already spent

A buyer acquires a working codebase, data model and control architecture, shortening the path from decision to a production programme of their own.

Optionality for adjacent products

The payment infrastructure can potentially serve as the underlying financial layer for broader fintech products — embedded finance, merchant technology, marketplace payouts or platforms that require a fiat payment layer — subject entirely to the buyer's own integrations, licensing and regulatory approvals.
